1. Introduction and Agreement

These Terms of Use apply to the BrokerBot, Inc. online and mobile sites on which we have posted these Terms of Use (collectively, the "Sites"). The Sites are operated by BrokerBot, Inc. along with our affiliates and subsidiary sites (collectively, "we," "our," "us"). You agree that by clicking "Sign Up," registering, accessing, or using our services (including our Paid Services, or any content or information provided as part of these services, collectively, "Services"), you are entering into a legally binding agreement (even if you are using our Services on behalf of a company).

This "Agreement" includes this Terms of Use agreement and our Privacy Policy ([Insert Link]), and other terms that will be displayed to you at the time you first use certain features or services, as may be amended by us from time to time. If you do not agree to this Agreement, do NOT click "Sign Up" "Get Started" (or similar) and do not access or otherwise use any of our Services. Registered users of our Services are herein referred to as "Members" with a "Member Account," and unregistered users are "Visitors." This Agreement applies to both.

2. Member Account

You must provide accurate and complete information when registering your Member Account and using the Services, to which you are the sole and exclusive rights holder. You represent and warrant that:

• You are at least eighteen (18) years of age, or of the legal age of majority in your jurisdiction.

• You are not a resident of (or will use the Services in) a country that the U.S. government has embargoed for use of the Services, nor are you named on the U.S. Treasury Department's list of Specially Designated Nationals or any other applicable trade sanctioning regulations.

• You own all rights in and to any content provided by you ("Member Content"), including any documents, images, animations, videos, audio files, fonts, logos, text, and other materials, or otherwise have full legal rights and permissions to use and upload such content.

• You will comply with all applicable laws and agreements governing your use of the Services.

You undertake and agree NOT to:

• Copy, modify, create derivative works of, reverse engineer, decompile, or disassemble any part of the Services.

• Use automated means (e.g., robots, scrapers) to access or use the Services.

• Upload malicious software or harmful code.

• Use the Services to send unsolicited messages ("spam") or fraudulent communications.

• Violate any laws or regulations, including telemarketing laws.

Failure to comply may result in the immediate termination of your Member Account and Services, without refund.

3. Telephony Services and Compliance

BrokerBot provisions telephone numbers for users, enabling them to exchange voice and SMS messages. By using BrokerBot’s telephony services, you acknowledge and agree that:

• You are solely responsible for compliance with all applicable laws and regulations, including but not limited to, the Telephone Consumer Protection Act (TCPA), Do-Not-Call (DNC) regulations, and other federal and state telemarketing laws.

• You shall not use BrokerBot’s telephony services to send unsolicited messages, robocalls, or engage in illegal marketing practices.

• BrokerBot is not responsible for your misuse of telephony services and shall not be liable for any fines, penalties, or legal consequences arising from your use.

Do Not Call (DNC) compliance is your sole responsibility. You agree to fully indemnify and hold harmless BrokerBot, Inc. for any violations.

4. Content, AI Processing, and Data Sharing

As between us and you, you shall own all intellectual property related to your Member Content, including documents, videos, and other media uploaded to train your AI model. However, by using the Services, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sub-licensable right to use your Member Content solely for providing Services to you.

BrokerBot leverages third-party large language model (LLM) providers to enhance AI functionality. While we take reasonable precautions to prevent your data from being used for training these models, we cannot fully guarantee that third-party providers will not process or incorporate your data into their training datasets. By using our Services, you acknowledge and accept this risk and agree that BrokerBot shall not be liable for unintended data processing by third parties.

5. Payment and Subscription

• Certain Services require payment of fees ("Paid Services"). Fees are billed in U.S. Dollars and are subject to change.

• Paid Services renew automatically unless canceled at least 30 days before renewal.

• Chargebacks may result in suspension or termination of your account.

• No refunds are issued for cancellations unless otherwise specified.

6. Privacy Policy

Your use of the Services is subject to our Privacy Policy https://brokerbot.net/privacy, which outlines how we collect, store, and process your personal information, including telephony and AI usage data.

7. Disclaimer of Warranties

BrokerBot provides the Services "as is" and "as available," without any warranties of any kind. We do not guarantee uninterrupted access or error-free performance. Use of our Services is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, BrokerBot and its affiliates shall not be liable for:

• Any indirect, incidental, or consequential damages.

• Any data loss or unauthorized access.

• Any misuse of telephony services by users.

9. Indemnification

You agree to indemnify and hold BrokerBot, its affiliates, and employees harmless from any claims, liabilities, or expenses arising from your misuse of the Services, non-compliance with laws, or violation of these Terms.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the courts of Travis County, Texas.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of any changes.
